Alchemic Medicinals Wholesale Terms & Conditions

Effective Date: These terms become effective upon submission of your wholesale account application.

1. Eligibility

To qualify for a wholesale account, you must be a licensed healthcare provider or professional operating under appropriate credentials. Alchemic Medicinals (“we”, “our”, or “AM”) reserves the right to verify your credentials and may deny or terminate access if requirements are not met.

2. Product Use & Resale

  • Products may only be sold directly to your own patients or clients under your care.
  • Resale to other resellers, distributors, or third parties is strictly prohibited.
  • You may not sell our products on third-party websites such as Amazon, eBay, or similar platforms.

3. Online Sales & Advertising

  • You may list and sell products on your own professional website, provided it includes your name, address, and contact information.
  • You must not advertise products at prices lower than our published Minimum Advertised Price (MAP).
  • Paid online advertising (such as banner ads or sponsored listings) for our products is not allowed.
  • Sales are restricted to customers within the United States only.

4. Professional Responsibility

You are solely responsible for how you recommend, prescribe, or administer our products. Alchemic Medicinals makes no claims about specific medical uses and is not liable for any outcomes resulting from use of the products in your practice.

5. California Sales Notice

Certain products are labeled “Not for sale in California” due to Proposition 65 regulations. If you sell to California residents, you are responsible for providing compliant warnings. You agree to indemnify Alchemic Medicinals for any claims related to improper labeling or sales within California.

6. Account Use & Security

You are responsible for maintaining the confidentiality of your account. Only you and authorized staff may place orders. If unauthorized use occurs, you must notify us immediately.

7. Term & Termination

  • This agreement is valid for one year and renews automatically unless canceled with 30 days' notice.
  • We may terminate your account at any time for breach of terms or misuse of the products or brand.
  • Upon termination, remaining inventory must only be sold to existing patients or returned if requested.

8. Enforcement & Liquidated Damages

Violations (e.g., unauthorized resale or online listings) may result in legal action or liquidated damages of $200 per violation per day. This is a fair estimate of damages to our brand.

9. Limitation of Liability

We make no guarantees beyond those stated here and disclaim all implied warranties. Our liability for any issue will not exceed the purchase price of the product involved.

10. Legal Terms

  • This agreement is governed by the laws of the State of Washington.
  • Disputes will be handled in King County, Washington.
  • This agreement does not create a partnership, franchise, or employment relationship.

Agreement Acknowledgment

By submitting your wholesale application and checking the acknowledgment box, you confirm that:

  • You are authorized to act on behalf of your practice or business.
  • You have read, understood, and agree to these terms.
  • You understand that violating these terms may result in account termination or legal action.
